01Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
You may use the Services only in compliance with applicable laws and these Terms.
02The Services
Zocove provides collaborative digital workspaces designed to support buyer-seller collaboration, resource sharing, communication, engagement tracking, and workflow coordination.
The Services may include:
- Digital sales rooms
- Shared workspaces
- Resource and document sharing
- Collaboration features
- Engagement analytics
- AI-generated summaries, recommendations, signals, and insights
We may modify, suspend, or discontinue any part of the Services at any time.
03Accounts & access
To use certain features, you must create an account. You are responsible for:
- Maintaining the confidentiality of your credentials
- All activity occurring under your account
- Ensuring your account information remains accurate
You may not:
- Share login credentials
- Impersonate another person
- Access accounts without authorization
04Workspace invitations & guest access
Zocove workspaces are private and invite-only. Workspace owners and authorized users may invite external participants ("Guest Users") to access specific workspaces or resources through invitation emails or magic links.
You are responsible for:
- Managing invitations and access permissions
- Ensuring invited participants are authorized
- Safeguarding invitation links from unauthorized sharing
Magic links are intended solely for the invited recipient and should be treated as confidential access credentials. Zocove is not responsible for unauthorized access resulting from shared or forwarded invitation links.
05User content
You retain ownership of content you upload, submit, or share through the Services ("User Content"), including documents, files, notes, links, comments, and workspace materials.
By using the Services, you grant Zocove a limited, non-exclusive license to host, process, transmit, analyze, and display User Content solely for the purpose of:
- Operating the Services
- Providing requested functionality
- Improving user experience
- Generating collaboration insights and AI-assisted features
You represent and warrant that:
- You own or have rights to the User Content
- Your User Content does not violate applicable law
- Your User Content does not infringe third-party rights
06AI features
Certain features may utilize artificial intelligence or machine learning technologies provided by third-party providers, including Anthropic, to generate summaries, recommendations, engagement signals, alerts, workflow suggestions, or other outputs ("AI Output").
AI Output may be inaccurate, incomplete, or misleading and should not be relied upon as the sole basis for business, legal, financial, or operational decisions.
You are solely responsible for reviewing and verifying all AI Output before use. Zocove does not guarantee the accuracy, reliability, or suitability of AI Output.
07Engagement analytics & workspace activity
The Services include collaboration and engagement analytics features. Workspace owners and authorized participants may have visibility into workspace activity and engagement information, including:
- Resource views
- Document interactions
- Participant activity
- Comments and collaboration activity
- Timestamps
- Engagement signals and summaries
By using the Services as a user or Guest User, you acknowledge and consent to such activity being visible within authorized workspaces.
08Acceptable use
You agree not to:
- Use the Services unlawfully
- Upload malicious code or malware
- Attempt unauthorized access to systems or accounts
- Interfere with platform operation or security
- Scrape, copy, or reverse engineer the Services
- Upload infringing, deceptive, or unlawful content
- Use the Services to spam or harass others
- Misuse invitation or magic-link functionality
You also agree not to upload or share:
- Social security numbers
- Payment card information
- Protected health information
- Highly sensitive regulated data
- Export-controlled information
…unless expressly authorized by Zocove in writing.
We may suspend or terminate accounts violating these Terms.
09Early access services
Zocove is currently offered as an early-access service. Features may change, become unavailable, or contain errors.
We do not guarantee:
- Uninterrupted availability
- Error-free operation
- Preservation of content
- Compatibility with all devices or workflows
You acknowledge that early-access features may be experimental and subject to modification or removal at any time.
10Subscriptions & billing
Zocove may offer free and paid subscription plans. Paid subscriptions may renew automatically unless canceled prior to renewal.
Billing and payment processing are handled by third-party providers, including Stripe. Your use of such services may also be subject to their terms and policies.
We may modify pricing, features, or subscription limits at any time with reasonable notice. Early-access or promotional access periods may be modified or terminated at our discretion.
11Third-party services
The Services may integrate with or rely upon third-party services, including authentication providers and payment processors. Your use of third-party services may be subject to separate terms and privacy policies provided by those third parties.
Zocove is not responsible for third-party services or their availability, security, or practices.
12Intellectual property
The Services, including all software, branding, designs, interfaces, and related intellectual property, are owned by Zocove and protected by applicable intellectual property laws.
Except for the limited rights expressly granted in these Terms, no rights are granted to you.
13Privacy
Your use of the Services is also governed by the Zocove Privacy Policy.
14Termination
You may stop using the Services at any time.
We may suspend or terminate your access immediately if:
- You violate these Terms
- Your use creates risk or legal exposure
- We are required by law
- We discontinue the Services
Following termination, certain information may remain in backups or archived systems for a limited period.
15Disclaimers
The Services are provided "as is" and "as available."
To the maximum extent permitted by law, Zocove disclaims all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Availability
- Accuracy
- Reliability
We do not warrant that:
- The Services will be uninterrupted
- The Services will be error-free
- Content will always be preserved or secure
16Limitation of liability
To the maximum extent permitted by law, Zocove shall not be liable for:
- Indirect damages
- Incidental damages
- Consequential damages
- Loss of profits
- Loss of data
- Business interruption
In no event shall Zocove's total liability exceed the greater of:
- One hundred U.S. dollars ($100), or
- The amounts you paid to Zocove during the twelve (12) months preceding the claim.
17Indemnification
You agree to indemnify and hold harmless Zocove and its affiliates, officers, employees, and contractors from claims, damages, liabilities, and expenses arising from:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of applicable law or third-party rights
18Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
19Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice through the Services or by other appropriate means.
Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
